TradeClear is supplied by Antipode Technologies Inc., an Ontario corporation. Using it means agreeing to what follows.
TradeClear is an administrative tracking and record-keeping utility. It queries the public WSIB clearance portal on your instruction, stores the responses, reads data from documents your trade contractors supply, and reports what it found.
TradeClear does not provide legal representation or legal advice. It does not perform statutory safety audits or workplace inspections. It does not underwrite, broker, or verify the adequacy of any insurance policy. It is not an agent of the Workplace Safety and Insurance Board, is not endorsed by the Board, and its records are not a substitute for a clearance certificate issued by the Board.
Your obligations under the Workplace Safety and Insurance Act remain yours. Whether a given contractor may work on your site, and whether a given policy meets your contractual requirements, are decisions for you and your advisers.
When a trade contractor's records lapse, TradeClear raises a recommendation that a payment be held, and reports it to you. It does not hold, delay, redirect or alter any payment, does not connect to your banking or accounting systems for that purpose, and does not cancel or vary any contract. Every such decision is made by you.
Results are read from a third-party portal and from documents supplied by third parties. Both can be wrong, out of date, or unavailable. TradeClear stores the source material so you can check it, and you should check it before relying on a result in a way that carries consequence. Where the portal cannot be reached, the service reports that it could not be reached rather than inferring anything about the contractor.
Subscriptions are billed monthly in Canadian dollars through Stripe, in advance, at the plan rate shown when you subscribe. Applicable taxes are added, including 13% HST for Ontario customers. Plan limits on the number of monitored subcontractors are enforced when you add one.
Cancel at any time through the billing portal. The service continues until the end of the period you have paid for, and fees already paid are not refunded. Cancelling stops the nightly checks; it does not delete your records.
To the maximum extent permitted by law, the total aggregate liability of Antipode Technologies Inc. to you, for all claims arising out of or relating to the service, whether in contract, tort, or otherwise, is limited to the fees you actually paid for the service during the three months immediately preceding the event giving rise to the claim.
Neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, or lost business opportunity, even if advised of the possibility.
Nothing in these terms limits liability that cannot be limited by law, including liability for fraud.
The service is provided as is. There is no uptime guarantee. The nightly job may be delayed, and third-party systems it depends on may be unavailable.
Either party may terminate at any time. Antipode Technologies Inc. may suspend or terminate an account that is being used unlawfully, or in a way that harms the service or a third party, and will say why.
These terms are governed by the laws of the Province of Ontario and the laws of Canada applicable in it. The courts of Ontario have exclusive jurisdiction.
These terms may change. Material changes are announced by email to the contact address on the account, at least thirty days before they take effect. Continuing to use the service afterwards means accepting them.
